BUSINESS BANKRUPTCY

If you own a business in California and economic conditions are making it harder for your business to stay on top of expenses and debts, Royzman Law Firm can help.

When Business Gets Personal. If your business was not set up as a corporation, LLC or other legal business entity, it is a sole proprietorship and you are personally liable for the business debt. In such situations, personal bankruptcy eliminates all debt through the bankruptcy discharge, including debt incurred by your business. Even if your business is a separate legal entity, you still may be personally liable for some of the business debt (e.g. if you signed a personal guarantee). When considering the options for your business, together we will determine any impact there may be on you personally and what should be done to minimize or eliminate it.

Chapter 7 Bankruptcy for Businesses. Although business entities can file for Chapter 7 bankruptcy, they do not receive a discharge. Chapter 7 may nonetheless be a good option for businesses in certain cases to protect the company’s owners and officers. For example, if your business has any assets (or perceived assets), a trustee will be appointed to your case to evaluate their value and distribute them as required under law, thereby eliminating potential owner and office liability to creditors. A chapter 7 bankruptcy also clearly signals to creditors that the business has ceased operating and has no available assets, making pursuit of a lawsuit useless. We will go over your particular circumstances and concerns, and explain the pros and cons of a chapter 7 bankruptcy for you and your business.

Business Dissolution. Sometimes filing bankruptcy may not be necessary and a dissolution for your business under California law may be a better alternative. Should that be the case for your business, Royzman Law Firm can help you to wind up and dissolve your business properly, including filing the appropriate documents with the California Secretary of State, assisting you with the formal corporate procedures that are required, reporting the dissolution to the Internal Revenue Service, and properly notifying creditors.

Whichever course is best for you and your business, we are dedicated to protecting your interests and making the experience as smooth and efficient as possible. If you would like to discuss your business-related issues or would like more information regarding Royzman Law Firm, please contact us.
